These Terms of Use (“Terms”) govern your access to and use of the Confidentia AI Inc. (“Confidentia,” “we,” “us,” or “our”) websites, documentation, and services, including Reality Signal™ (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

1. Who we are

Confidentia AI Inc. is a Delaware corporation with its principal place of business in the United States.

2. Eligibility and account security

You must be legally capable of entering into a binding contract to use the Services. If you create an account or use an API key, you are responsible for maintaining its confidentiality and for all activity that occurs under your credentials.

3. Use of the Services

  • Use the Services only in compliance with applicable law and these Terms.
  • Do not reverse engineer, interfere with, or attempt to bypass rate limits or security features.
  • Do not use the Services to develop or distribute malware, conduct unauthorized scanning, or exploit vulnerabilities.
  • Do not use the Services in a way that infringes or violates the rights of others.

4. API usage

The Services may include APIs. You may only use the APIs with valid credentials issued to you, and you must follow our documentation and reasonable technical requirements (including rate limits). We may suspend or revoke access to protect the Services, you, or others.

5. Customer data and outputs

You retain your rights to data you submit to the Services (“Customer Data”). You grant Confidentia a limited license to process Customer Data solely to provide, maintain, and secure the Services, and as otherwise described in our Privacy Policy.

Reality Signal provides probabilistic assessments and uncertainty signals. You are responsible for validating results, setting routing policies, and determining the appropriateness of automation, escalation, or other actions in your application.

6. Prohibited high‑risk uses

Unless expressly agreed in writing, you may not use the Services for high‑risk decisions where errors could cause serious harm (for example, medical diagnosis/treatment, life‑critical systems, or decisions about an individual’s legal rights) without appropriate human oversight, testing, and safeguards.

7. Intellectual property

The Services, including software, documentation, and trademarks (including “Reality Signal”), are owned by Confidentia and its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

8. Fees and billing

If you purchase paid Services, you agree to pay fees as described at the time of purchase or in an order form. Usage‑based fees may be metered (e.g., per decision). Taxes may apply.

9. Suspension and termination

We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services. You may stop using the Services at any time. Sections that by their nature should survive will survive termination.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFIDENTIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error‑free, or that outputs will be accurate for any particular use case.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFIDENTIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFIDENTIA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO CONFIDENTIA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will indemnify and hold harmless Confidentia from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your Customer Data, or your violation of these Terms.

13. Governing law; venue

These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. Changes

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to provide notice (for example, by posting an updated date). Your continued use of the Services after changes become effective constitutes acceptance.
